About the Role: We are seeking a highly motivated, business-oriented commercial attorney and manager to join and lead our Public Sector Legal Team. As Senior Lead Counsel, Public Sector, this individual will serve as the primary legal advisor to our Public Sector Sales organization and will play a key role in enabling revenue growth while managing legal and regulatory risk. This position requires deep experience with U.S. federal, state, and local government contracting—particularly commercial item acquisitions—and significant expertise in software licensing for cloud-based and SaaS providers. This role includes partnering closely with Sales, Finance, Compliance, Security, Product, Professional Services, and Operations. Location Requirement: This role is open to candidates based remotely within the United States, with a strong preference for individuals located in one of the following places: Arlington, VA; DC Metro Area; Sunnyvale, CA or Austin, TX. What You’ll Do: • Lead and manage the Public Sector sale-side legal function, including mentoring and developing attorneys and/or contracts professionals as the business scales. • Draft, negotiate, revise, and review a wide variety of agreements, including federal, state, local, and commercial contracts; SaaS agreements; partner and reseller agreements; teaming agreements; NDAs; professional services agreements; statements of work; and subcontract agreements. • Support opportunity qualification and pursuit by reviewing RFIs, RFQs, solicitations, and proposal materials, including representations and certifications, OCI disclosures, and other compliance requirements. • Assess, communicate, and help resolve legal and business risks associated with public sector transactions, including deviations from standard commercial or government terms. • Identify contractual, regulatory, or operational issues that are inconsistent with company processes, offerings, or risk tolerance, and drive resolution in • collaboration with internal stakeholders within and outside of the Legal Department. • Advise Finance, Operations, Professional Services, Sales, and other internal teams regarding contractual rights, obligations, and compliance requirements. • Support post-award contract interpretation and issue resolution, including audits, inquiries, or disputes, in coordination with internal teams and outside counsel as needed. • Ensure appropriate flow-down of mandatory public sector terms to resellers, partners, and subcontractors. What You’ll Need: • Juris Doctor (J.D.) degree from an accredited U.S. law school. • Active admission to at least one U.S. state bar. • 7–12+ years of progressively responsible experience in federal, state, and local government contracting, particularly commercial item acquisitions, with technology companies offering cloud-based software or SaaS solutions and associated professional services. A combination of law firm and in-house experience is preferred. • Excellent knowledge of U.S. public sector procurement laws, regulations, and procedures, including FAR, DFARS, agency-specific supplements, applicable state and local laws, and commercial contracting principles. • Strong experience with public sector contracting vehicles such as GWACs, IDIQs, BPAs, BOAs, and similar arrangements. • Experience supporting public sector resellers, system integrators, and other channel partners. • Proven ability to negotiate and manage large, complex product and services agreements from opportunity qualification through execution and post-award support. • Strong interpersonal, verbal, and written communication skills, with the ability to advise and influence senior business stakeholders. • Sound judgment and the ability to balance legal risk with business objectives in a fast-paced, sales-driven environment. • Ability to manage multiple competing priorities with a “roll up your sleeves” attitude, and a collaborative mindset.
